1. Introduction

These Terms of Use, also referred to as “General Terms and Conditions” (GTC), govern how YouLoggit GmbH (“we”, “us” or “YouLoggit”) provides you (“you” or “User”) with our products and services (the “YouLoggit Services”), and which terms, conditions and obligations both parties accept so that a valid contract is formed and you are authorised to use the Services.

1.1 Contracting party / Terms of Use

To use the YouLoggit Services, you enter into a contract with us, the operator “YouLoggit GmbH”, domiciled in Germany (see Imprint). We provide our users with access to YouLoggit via web browser at www.youloggit.com or via the YouLoggit Android and iPhone apps.

By using YouLoggit, you accept all provisions of these Terms of Use.

1.2 What we offer / definition of the YouLoggit Services

YouLoggit provides the following cross-border features:

The YouLoggit Services are designed to reward authenticity and substance within the community. Because of how user contributions are presented in our system, misrepresentation or cheating tends to become apparent quickly and appears unattractive. Likewise, hate speech, pile-ons and mass bullying are significantly impeded.

1.3 Free use, GENUINE and PRO subscriptions

YouLoggit enables internet users to register via modern web browsers, the Android app or the iPhone app. In the early phase, registration may only be possible by invitation from existing users and/or by entering promotion codes. A free YouLoggit account allows the use of basic functions (e.g., chat system, selecting goals and adopting goals from others, and core community features). Paid subscriptions generally unlock additional functions, and the PRO account enables you to maintain your own interest-based community and to place or allow advertising there.

Paid subscriptions may be subject to additional terms, which you accept when you purchase such subscriptions.

1.4 Maximum fairness

YouLoggit is a for-profit company financed by subscription fees. We are committed to offering features that - based on our best knowledge - provide genuine support in achieving your goals and carrying out your projects. In addition, we aim to offer functions that meet the growing need for effective communication.

1.5 Changes to these Terms

YouLoggit is under development. We may need to adjust these Terms, for example to comply with legal requirements, to add new features, or to reflect changes in how YouLoggit is used. We may therefore amend these Terms, but we will notify you of material changes at least four weeks in advance.

If you do not agree to the changes, you may terminate the contract before they take effect. If you continue to use YouLoggit after the effective date, you will be deemed to have accepted the announced changes.

2. Your obligations

2.1 Minimum age

YouLoggit can also be used to improve school performance (e.g., a goal such as “math homework”). You must be at least 13 years old to use YouLoggit. If you are under 16 years old, you may only register and use YouLoggit if your parents or legal guardians consent (in particular where consent to data processing is required). If you are a minor, depending on the type of contract (e.g., paid subscriptions), additional approvals by your legal guardians may be required.

2.2 Protect your password

It is important that you protect your account carefully, because it concerns your content, your representation and your personal development. You therefore undertake to choose a secure password and not to disclose it to anyone. You should never share your password - even with people or friends you trust.

If you are a minor, your parents may require that you provide them with your password, giving them access to your private matters. Whether you should provide it is for you and your parents to decide together.

2.3 Using a GENUINE or PRO upgrade

If you use a GENUINE account or a PRO account, you gain substantially more capabilities within YouLoggit. This involves recurring fees. You undertake to ensure payment and/or to enable collection via our payment service provider (initially likely PayPal Plus). If you terminate before the end of the agreed billing period, fees due for that period do not lapse.

2.4 Notifications / information from us / news

We may send you notices that are required to provide the YouLoggit Services (e.g., security, account and system notices). Such notices form part of the service and cannot always be unsubscribed from if they are necessary for operation and security.

You will only receive additional information (e.g., hints about new features) and push notifications if you enable them in the app and/or in your operating system settings, or otherwise consent to them. You can disable optional notifications at any time in your settings.

Details on the processing of personal data (in particular the technical delivery of push notifications, e.g., via platform services such as Firebase Cloud Messaging) can be found in our Privacy Policy.

2.5 Sharing / publishing your data

You confirm that you agree that your data may be processed by us for the purposes of the YouLoggit features and may be displayed to other members in accordance with your privacy settings. This may mean that your data is temporarily cached on the devices of other users.

You understand and accept that YouLoggit cannot fully prevent members from making copies of your shared content (e.g., screenshots). Displaying your posts is part of the YouLoggit functionality.

You also undertake not to copy content from YouLoggit for your own purposes without YouLoggit’s consent and not to label it - unchanged or modified - as your own (for your advantage).

If your content is also shared publicly based on your privacy settings, the above also applies to content that is publicly visible (i.e., potentially to people who are not logged in or to third parties such as search engines). Comments and reactions on the content of other users are generally visible with the visibility of the content/profile you interact with.

2.6 Special categories of personal data (Art. 9 GDPR)

Please do not upload special categories of personal data within the meaning of Art. 9 GDPR (e.g., health data, religious or philosophical beliefs, political opinions) to YouLoggit, and do not publish such data in posts, chats or goals.

If you nevertheless provide such data, you confirm that you are entitled to do so and that a valid legal basis exists (e.g., explicit consent of the affected persons, where required). We are not designed to process special categories of personal data. Once we become aware of such content (e.g., through a report), we may prioritise reviewing it and may delete it or restrict access to it.

2.7 Availability, local storage and your own backups

We strive to provide the YouLoggit Services reliably. However, we cannot promise uninterrupted availability at all times, nor can we guarantee that specific content will always be available. You are responsible for backing up important content elsewhere where possible.

For technical delivery, data may be stored locally on your device (e.g., in the browser cache or app storage). When switching accounts, logging in on another device, deleting browser data, or uninstalling the apps, locally stored data may be lost.

Statutory retention obligations (e.g., for billing or contract data) remain unaffected.

2.8 Caching on other members’ devices

Due to how the Services function, content may be technically cached on the devices of other members (e.g., for display or offline functionality). In chats, content may - depending on device/client - be stored locally until the respective user deletes it or leaves the chat.

3. Intellectual property

3.1 Your intellectual property

By posting and sharing, you retain all rights to your content. However, you grant us a non-exclusive right to store, process and use the content electronically in order to provide the YouLoggit Services. For presentation and formatting, we may edit posts (e.g., by algorithms) without changing their meaning or intent. We provide various ways to restrict sharing to protect users’ privacy.

The same applies to the processing of personal data that we must process in order to provide the YouLoggit Services.

3.2 Copyright and ownership rights

You understand and accept that all rights in the platform, its mechanisms and its code remain with YouLoggit. By becoming a member you may use the Services, but you do not acquire any ownership or other rights to use them for purposes outside these Terms of Use. Applying reverse-engineering techniques to YouLoggit code, as well as unauthorised copying of code fragments, is expressly prohibited and may be pursued under civil and/or criminal law.

Any third-party rights are listed under Licenses. You also acknowledge these external rights.

3.3 Use of algorithms / automated processing

You allow YouLoggit to use algorithms and automated processing to prepare content for display to other members or to the public. You also allow YouLoggit to detect misuse by algorithms.

In addition, we may perform statistical analyses based on aggregated and/or anonymised data to derive insights about projects, resolutions and goals. To the extent that personal data is processed, this is governed by the Privacy Policy.

4. Disclaimer / limitation of liability

4.1 Limitation of liability

To the extent permitted by law, YouLoggit (including its affiliated companies) is not liable for lost profits or lost business opportunities, reputational harm, loss of data, or for indirect, incidental, special or consequential damages.

In cases of slight negligence, we are liable only for breaches of essential contractual obligations (“cardinal obligations”) and only for the foreseeable damage typical for this type of contract. In that case, our liability is - where legally permissible - limited, for paid services, to the fees you have paid in connection with the affected contract in the last 12 months. For free use, liability is - where legally permissible - limited to EUR 1,000.

4.2 No warranty / no guarantee

YouLoggit and its affiliated companies provide no warranty or assurance regarding the Services. In particular, we do not warrant that the Services will be uninterrupted and/or error-free. We provide the Services, content and information “as available”.

To the extent permitted by applicable law, we disclaim any implied or statutory warranties, including implied warranties of title, accuracy of data, non-infringement, merchantability or fitness for a particular purpose.

4.3 No content-related guarantee

YouLoggit provides its Services to members but does not guarantee any specific success. This applies to the features described in Section 1.2, to editorial goals offered in this goal catalogue, and in particular to content and guidance provided by third parties (other YouLoggit members).

4.4 Exceptions

These limitations of liability do not apply to liability for injury to life, body or health, in cases of fraud, gross negligence or wilful misconduct, or in cases of negligent breach of essential obligations, but only insofar as the damages were directly caused by the breach, were foreseeable at the time the contract was concluded, and are typical for this type of contract.

5. Dispute resolution

5.1 Venue

In the unlikely event of a dispute between you and YouLoggit, disputes will be resolved before German courts under German law, or - where mandatory consumer protection provisions so require - before the courts of the country where you reside under the applicable local law.

5.2 Local consumer protection laws

If you reside in Germany, German law applies to all claims relating to the provision of the Services by YouLoggit. This does not deprive you of mandatory consumer protection under the law of your habitual residence if we make our Services available there.

5.3 Jurisdiction

For disputes arising out of or in connection with these Terms, the courts of the country in which you have your habitual residence shall have jurisdiction, where mandatory law provides for this.

You and YouLoggit consent to the personal jurisdiction of those courts.

6. General provisions

6.1 Entire agreement

This version of the Terms provided by YouLoggit supersedes all prior agreements relating to YouLoggit, including any additional terms for specific YouLoggit features you use. This is the only valid agreement between you and YouLoggit.

6.2 Severability

If a court finds any part of these Terms unenforceable, you agree that the court shall modify the provision to the extent necessary to make it enforceable and to reflect the parties’ intent as closely as possible. If such modification is not possible, the parties request that the court sever the unenforceable part while enforcing the remainder of the Terms.

YouLoggit does not waive any right granted under these Terms even if we do not enforce that right in a particular instance.

6.3 No assignment by you

Without our consent you do not have the right to assign or transfer your contract, your membership, or any subscriptions you may have purchased (in particular PRO subscriptions and the associated rights and obligations) to third parties.

6.4 Our right to assign

You agree that we may assign these Terms without your consent to affiliated companies, or to a third party that acquires them. There are no third-party beneficiaries under these Terms.

6.5 Legal notices to us

If you wish to send us a legal notice, you agree to do so only via the contact options specified in Section 13. This helps ensure that the notice can be handled correctly within any applicable deadlines.

7. Compliance with law

7.1 Applicable laws

You undertake to comply with applicable laws when using YouLoggit, including respecting copyrights, complying with data protection laws, tax laws, anti-spam rules, export control laws and other governmental regulations.

7.2 Cooperation with authorities

Both parties agree to cooperate with legally authorised authorities where valid, official and legally binding orders exist.

8. Growing the network / rewards

8.1 Inviting contacts

You may tell people close to you - friends, acquaintances, colleagues or contacts of any kind - about YouLoggit and offer to invite them to the YouLoggit community. You need their email address and their explicit consent. If you use the invitation function in YouLoggit, the system will send an invitation to that person based on our legitimate interest, allowing them to register as a user.

8.2 Rewards

Inviting your contacts can be beneficial for you, your contacts and YouLoggit. You can pursue goals together, chat, etc., and YouLoggit may gain paid subscriptions as a result. Therefore, we may offer incentives for invitations. These incentives are not contractually fixed. Rewards are displayed within the invitation feature.

8.3 Misuse of invitations

You undertake to invite only persons whose consent you have obtained.

Because YouLoggit may offer rewards, there is an increased risk of misuse of the invitation feature. The invitation message contains a complaint link that the recipient can use to report misuse.

You agree that your account may be restricted or blocked in case of violations; see Section 10.

9. Prohibited conduct

You contractually undertake not to do any of the following. In case of violations, YouLoggit may temporarily restrict your account or permanently disable it in serious cases; see Section 10. Some of the items below may seem obvious, but they must be stated contractually:

10. Restriction / suspension of your account access

YouLoggit may restrict your access to the YouLoggit Services. In the event of a breach of these Terms, violations of law, or violations of the Code of Conduct, YouLoggit has the right to suspend your account temporarily for review, or to close it immediately in serious cases.

If you believe measures taken were incorrect, you may object by contacting us as described in Section 13.

11. Blocking / submitting complaints

11.1 Blocking other users

If necessary, YouLoggit allows you to block other users while you are logged in. They will then no longer be able to open, view or otherwise interact with your account.

You understand and accept that it is technically not possible to prevent the underlying person from logging out, visiting your publicly accessible profile (according to your privacy settings), and viewing data from it.

You can re-allow blocked persons in your settings.

11.2 Complaints about users

You can contact us as described in Section 13 if you wish to complain about a user. Please provide a clear description of the violations, ideally with evidence. This may be appropriate, for example, if blocking a user is insufficient because they create new (fake) accounts to continue harassing you.

11.3 Complaints about content

Where automated reporting makes sense, YouLoggit provides a “Report” button.

If you need to report posted content in other cases, please contact us as described in Section 13 and provide your description and evidence.

11.4 Review of complaints and misuse

We review complaints carefully. However, we do not guarantee that we will take action in every case. Our internal review processes, the severity of the violation and legal requirements are among the factors that matter.

You undertake not to misuse the reporting options.

You accept that other users may report you if you breach these Terms or violate the Code of Conduct.

12. Termination / ending / objection

12.1 Termination of the contract

Either party - YouLoggit or you - may terminate this contract at any time by notifying the other party. Upon termination, your right to access the YouLoggit Services ends.

12.2 Rights and obligations after termination

The following rights continue to apply after termination:

12.3 Termination of subscriptions

Termination of this contract is separate from termination of a subscription upgrade (GENUINE or PRO). If this contract is terminated, all rights to use YouLoggit end.

If, however, a paid subscription is terminated, only the additional features remain available until the end of the paid period.

12.4 Termination of the PRO subscription

The PRO subscription allows you to lead a goal community and to post your own advertising for (your) products and services within the target group. If you terminate your PRO subscription, you lose your ownership of that goal community after 6 weeks. Ownership of the community then reverts to YouLoggit. YouLoggit may, at its discretion, offer that goal community to other YouLoggit members and may monetise it, e.g., by auction.

You confirm that you expressly agree to this procedure.

12.5 Data retention for reactivation

You agree to the following: Data content stored by us in relation to paid subscriptions (e.g., session logs) will remain available for a transitional period of 6 weeks after termination takes effect. During this period, the relevant subscription may be reactivated without loss of data.

If no equivalent subscription is re-purchased within these 6 weeks, your content will be deleted from our system, unless statutory retention obligations require further storage.

12.6 Objection

You have the right to object to these Terms. In that case, the authorisation to use YouLoggit ends with immediate effect. In case of objection, Sections 12.2 to 12.4 also apply.
